The following general conditions of sale form an integral part of all our material supply contracts, even when orders are made by telephone, verbally, by fax, e-mail or via the Internet and completely replace different terms and conditions.



B&C Exclusive srl manufactures and sells semi-manufactured metal parts (obtained with chemical photocaming, precision casting, laser cutting, electroforming and other techniques) in copper, iron, aluminum and steel alloys, products on design, sample or other indications of the Customer.

The company has its head office and tax office in Romania, Piata 1 Mai 1-2, 400058 Cluj Napoca, tax code and Vat code n. RO21936173, registered at the Chamber of Commerce of Cluj Napoca at J12 / 2699/07.

Representative offices and production units located in other countries do not represent the fiscal headquarters of the company.



B&C Exclusive srl manufactures and markets Minart, Yasui, Nicem, Pandoralloys, Berkem, Formlabs, and other product brands exclusively for professional customers.

The customer assures that the purchase of B&C products takes place exclusively for professional purposes, that is to say relevant to one's working activity. The relationship between B&C Exclusive and customers will therefore not be governed by consumer protection laws.



The prices of the products indicated in the price lists, offers and other B&C publications are expressed in Lei (RON) and/or in Euro (€), do not include VAT / VAT, generally refer to a piece or box, where no other indications appear. 

B&C Exclusive srl reserves the right to change the characteristics and prices of products, systems and methods of shipment without prior notice.



In any case, bid requests do not represent "executive sales order". Following these requests, the company will take action exclusively in order to provide the information object of the requests.



Customers already in possession of one or more item codes can send purchase proposals. These proposals do not represent in any way a purchase contract, as they are simple proposals whose completion is subject to the acceptance of B&C Exclusive srl. The company reserves the right not to accept orders of less than 100 euros, excluding VAT and shipping.



Orders are intended to be concluded and accepted only in the following cases:

1. when B&C receives the offer confirmed by the Customer for acceptance, within 8 working-hours of the issue, which is understood in this way as accepted in its entirety.

2. when the Customer receives the order confirmation, which in the absence of communications within the following 8 working-hours is intended as approved and accepted in its entirety.

The validity of the order is however subject to the fulfillment by the Customer of the payment conditions indicated on the offer or on the order confirmation.

Confirmed orders will immediately go into preparation and can no longer be canceled.

The ordered material will be preparated according to the general specifications, published on the website, except for specific agreements. 



The indicative delivery terms are communicated on the offer or on the order confirmation. B&C Exclusive srl reserves the right to a reasonable extension of the delivery deadline, in cases where force majeure or circumstances not attributable to it delay the timely delivery of the goods or in the event that the Customer is late with payment, including supplies previous. A delay in delivery does not authorize the Customer to reject the order or request compensation for damages.



The invoice will be sent together with the shipment of the products. It is possible to request a copy which will be sent in digital format by e-mail.

B&C Exclusive srl is not subject to the Italian law for electronic invoicing.



All payments, unless otherwise agreed and approved in writing by B&C Exclusive srl, must be made in advance when ordering. In any case, B&C Exclusive srl reserves the right to revoke the payment terms granted to the Customer at any time.

In all cases in which the Customer exceeds the commercial credit granted by B&C Exclusive srl, the latter reserves the unquestionable right to suspend the execution of all orders that exceed the value of the credit granted.

Payment by the Customer will be made using the method indicated on the offer or order confirmation, using the following tools:

- Payment by bank transfer

- Payment by credit card

- Payment with Paypal

In the event of non-payment beyond the set deadlines, actions will be undertaken to forcibly recover the credit, also through external companies, with the consequent increase in costs to be borne by the Customer.



The goods are delivered ex-works B&C Europa srl ​​(Cluj Napoca, Romania). Unless otherwise agreed, the shipment takes place free of charge with debit on the bill of transport costs. The material travels at the risk of the customer even if shipped prepaid. The customer is required to examine the integrity, weight and number of packages before accepting the goods. Any disputes must be reported directly to the shipper.



The customer is obliged always and in any case to carry out an accurate check at the entrance of the products received, immediately after delivery.

Any complaints or disputes relating to the products supplied must reach the B&C Exclusive srl office or the branch offices by letter, fax or e-mail within ten days from the date of receipt of the goods. The products recognized as faulty at the origin, must be returned to the factory properly packed by the customer, and will be replaced with the same of the same type. If for technical reasons the replacement is not possible, a credit note will be issued to cover the price paid by the customer for the defective products.

In no case will B&C Exclusive srl be held responsible for the consequences due to special, consequential, indirect or similar damages, including the loss of profits. In no event shall B&C Exclusive srl's responsibility exceed the price paid by the customer for the product.



For all matters not expressly provided for in these general conditions, the laws in force apply. Any dispute concerning the application, execution, interpretation and violation of purchase contracts stipulated and subject to Romanian jurisdiction. The court of Cluj-Napoca (Romania) will have jurisdiction over any dispute.



The personal data, as well as the drawings, the preliminary projects, the originals, the executives and in any case all the materials used for the execution of the assignment will be used only for the strictly necessary purposes, in compliance with the law and will not be in any way communicated to third parties, unless prior written consent of the interested party.
